Welcome to BedSync, a product of Redemption Digital LLC ("Redemption Digital," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our mattress dealer platform at bed-sync.com. By creating an account or using our services, you agree to these Terms.

1. Service Description

BedSync provides a multi-dealer SaaS platform for mattress dealers, including:

• Customizable dealer websites with subdomain or custom domain
• Automated inventory synchronization
• Photo management and product display
• Facebook and Google Business Profile auto-posting
• Lead management and CRM tools
• SMS and email notifications for new leads
• AI-powered SMS sales agent (add-on)
• Automated nurture sequences (email and SMS)
• Delivery route management
• Quote generation and customer outreach
• Competitive intelligence tools
• QR code generation for showroom mattresses
• Multi-location inventory tracking
• Custom branding and color schemes

2. Account Registration

2.1 Eligibility

You must be:

• At least 18 years old
• A legitimate mattress dealer or business owner
• Authorized to accept these Terms on behalf of your business

2.2 Account Information

• You must provide accurate, current, and complete information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• One account per business entity

3. Subscription and Billing

3.1 Subscription Tiers

• Core: $79/month
• Pro: $149/month
• Platinum: $299/month
• Founding Members: $149/month (Platinum locked in for life)
• Additional Locations: 50% of plan price per additional lot
• AI SMS Agent Add-On (Single Location): $99/month
• AI SMS Agent Add-On (Multiple Locations): $199/month

3.2 Billing

• Monthly recurring charges via PayPal
• Subscriptions automatically renew unless cancelled
• Prices are subject to change with 30 days notice
• Founding member pricing is locked in for the lifetime of the account
• Failed payments may result in service suspension after reasonable notice

3.3 Cancellation

• You may cancel your subscription at any time
• Contact: support@bed-sync.com
• Access continues until the end of your current billing period
• No refunds for partial months

4. SMS/Text Messaging Terms

4.1 Program Name

BedSync Dealer SMS Alerts — operated by Redemption Digital LLC, doing business as BedSync (www.bed-sync.com).

4.2 For Dealers (Account Holders)

By providing your mobile phone number in your BedSync account settings and consenting to receive SMS messages, you agree to the following:

• You authorize BedSync to send SMS messages on your behalf to your leads and customers
• You are responsible for ensuring you have appropriate consent from recipients
• A local phone number will be provisioned for your account via Telnyx
• You agree to comply with all applicable laws including TCPA, CTIA guidelines, and carrier policies
• You will not use the SMS features for spam, unsolicited marketing, or illegal purposes
• Message volume limits may apply based on your subscription tier
• Consent to receive SMS messages is not a condition of purchasing or using BedSync services

4.3 For Customers (Form Submitters)

• By submitting an inquiry form on a BedSync-powered website and checking the SMS consent checkbox, you consent to receive text messages from the dealer regarding your inquiry
• Message frequency varies based on your inquiry and the dealer's follow-up preferences
• Standard message and data rates may apply
• Consent is not a condition of purchase

4.4 Types of Messages

• New Lead Alerts: Notifications to dealers when a customer submits an inquiry
• Customer Follow-Ups: Automated nurture messages sent to customers on behalf of the dealer
• AI SMS Agent Responses: AI-powered conversational sales messages (when enabled)
• Delivery Updates: Status updates about scheduled deliveries
• Review Requests: Post-sale messages requesting customer feedback
• Account Notifications: Important account-related alerts

BedSync does not send marketing, promotional, or advertising SMS messages to customers without their explicit consent.

4.5 Message Frequency

Message frequency varies. Dealers can expect approximately 1-10 messages per week based on customer inquiry volume. Customer message frequency depends on the dealer's nurture settings and conversation length.

4.6 How to Opt Out

You may opt out of receiving SMS messages at any time by:

• Replying STOP to any BedSync text message
• Removing your phone number from your BedSync account settings (dealers)
• Emailing admin@bed-sync.com with the subject "SMS Opt-Out"

After opting out, you will receive one final confirmation message. You will not receive any further SMS messages unless you re-subscribe.

4.8 Message and Data Rates

Standard message and data rates may apply. Contact your wireless carrier for details. BedSync is not responsible for carrier fees or charges.

4.9 Supported Carriers

Compatible with all major U.S. carriers including AT&T, Verizon, T-Mobile, and other supported carriers. Carriers are not liable for delayed or undelivered messages.

4.10 AI SMS Agent

• The AI SMS Agent is an optional add-on feature
• It uses artificial intelligence to respond to customer inquiries via text
• AI-generated responses are sent on behalf of the dealer
• The dealer is responsible for the content of AI-generated messages
• BedSync is not liable for AI-generated responses that may be inaccurate

4.11 Phone Number Provisioning

• BedSync provisions local phone numbers via Telnyx for each dealer
• Numbers are selected based on the dealer's business phone area code
• Phone numbers remain the property of Redemption Digital LLC / BedSync
• Numbers may be reclaimed if your account is terminated

4.12 SMS Privacy

Your phone number and any information collected through the SMS program will be used solely to deliver BedSync notifications. We do not sell, rent, lease, or share your phone number or any personal information collected through the SMS program with third parties for marketing or promotional purposes.

5. Your Content and Data

5.1 Ownership

• You retain ownership of all content you upload (photos, business info, inventory data)
• BedSync and Redemption Digital LLC retain ownership of the platform, software, and infrastructure

5.2 License to Use Your Content

By using BedSync, you grant us a limited license to:

• Display your content on your dealer website
• Store your content on our servers
• Post to your social media pages when auto-posting is enabled
• Send messages to your customers on your behalf
• Use your content to provide and improve our services

6. Facebook Integration

• You authorize BedSync to post to your Facebook Business Page on your behalf
• You must be an admin of the Facebook page you connect
• You agree to comply with Facebook's Terms of Service and Platform Policies
• You are responsible for content posted to your Facebook page
• You can revoke access at any time

7. Domain and Website

7.1 Subdomain

• You receive a free subdomain: yourbusiness.bed-sync.com
• Subdomain must be unique and appropriate

7.2 Custom Domain

• You may connect your own domain or purchase one through BedSync
• Domains purchased through BedSync are registered via GoDaddy on your behalf
• You are responsible for DNS configuration if using your own domain

8. Acceptable Use Policy

You agree NOT to:

• Use the service for illegal purposes
• Send unsolicited or spam SMS/email messages
• Attempt to breach security or authentication
• Upload malware, viruses, or harmful code
• Scrape, crawl, or harvest data from the platform
• Reverse engineer or decompile the software
• Resell or redistribute the service
• Impersonate others or provide false information

9. Cancellation and Termination

9.1 Termination by You

• Cancel anytime via support@bed-sync.com
• Access continues until end of billing period
• No refunds for partial months

9.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, fail to pay, or violate SMS/TCPA regulations.

9.3 Effect of Termination

• Your dealer website will be taken offline
• SMS sending will be disabled and your phone number may be released
• Your data will be deleted 30 days after cancellation

10. Disclaimers and Limitation of Liability

• We do not guarantee SMS or email delivery — delivery depends on carriers and third-party services
• AI-generated content may contain errors — you are responsible for reviewing it
• We rely on third-party services (Vercel, Neon, PayPal, Facebook, Telnyx, SendGrid, Anthropic) and are not responsible for their failures

11. Indemnification

You agree to indemnify, defend, and hold harmless Redemption Digital LLC, BedSync, its officers, directors, employees, and agents from any claims arising from your use of the service, your content, SMS messages sent on your behalf, or your violation of these Terms or applicable laws (including TCPA).

12. Dispute Resolution

• Before filing a claim, contact us at support@bed-sync.com to attempt informal resolution
• Governed by the laws of the State of Louisiana
• Disputes settled by binding arbitration per American Arbitration Association rules

13. Changes to Terms

• We may modify these Terms at any time
• Changes will be posted on this page with an updated date
• Significant changes will be notified via email
• Continued use after changes constitutes acceptance
